These Terms of Service ("Terms") govern your access to and use of the CPAlly website and accounting platform (the "Service") operated by CPAlly ("CPAlly", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Use of the Service

CPAlly provides tools to record sales and expenses, manage a chart of accounts, and prepare Philippine BIR forms and reports. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

You agree not to:

• Use the Service in any way that violates applicable law;
• Attempt to gain unauthorized access to the Service or its related systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, copy, or resell any part of the Service without our written consent.

Your Data & Tax Responsibility

You retain ownership of the business and financial data you enter into the Service. You are solely responsible for the accuracy and completeness of the information you provide. While CPAlly helps you prepare reports and BIR forms, you remain responsible for reviewing them and for the timely and accurate filing of your own taxes. CPAlly is a software tool and does not provide accounting, legal, or tax advice.

Free Trial & Subscriptions

We may offer a free trial period. After the trial, continued use of paid features may require a subscription. Fees, billing cycles, and plan details will be presented to you before you subscribe. Unless stated otherwise, fees are non-refundable except where required by law.

Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, and will make reasonable efforts to notify you of material changes.

Limitation of Liability

To the maximum extent permitted by law, CPAlly shall not be liable for any indirect, incidental, or consequential damages, or for any loss of data, profits, or penalties arising from your use of or inability to use the Service, including any errors in tax filings. The Service is provided "as is" without warranties of any kind.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms. Provisions that by their nature should survive termination will continue to apply.

Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law principles.

Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
